Acceptance requirements

A foreign-invested company may be altered to a domestic company when all of the following conditions are met:

1. Approval by a competent government agency has been received if it is on the list of the Special Administrative Measures for the Access of Foreign Investment (Negative List) or involving foreign-funded mergers and acquisitions;

2. The number of shareholders or promoters satisfies that specified by law. For the establishment of a limited liability company, there shall be fewer than 50 shareholders. For the establishment of a joint stock limited company, there shall be more than two and fewer than 200 promoters, of which more than half shall have their domiciles within the territory of the People’s Republic of China;

3. The capital contributions by the shareholders of the limited liability company are consistent with the articles of incorporation. The share capital of the joint stock limited company subscribed for by the promoters and raised from the general public shall reach the statutory minimum amount of capital, and its issuance of shares and preparations for establishment shall be in conformity with the provisions of the law;

4. The articles of association of the limited liability company have been jointly formulated by the shareholders; the articles of association of the joint stock limited company have been formulated by the promoters and adopted at the inaugural meeting;

5. The company has a name and an organizational structure required for the establishment of a limited liability company or joint stock limited company;

6. There are fixed production and business premises and necessary production and business conditions.

7. A resolution or decision on alteration has been made by the foreign-invested company in accordance with the law.
